FundYourPal Terms of Use

These Terms of Use (the "Terms") are a binding agreement between you and FERFORTINI LLC, a Florida limited liability company doing business as FundYourPal ("FundYourPal," "we," "us," or "our"), governing your access to and use of the website located at fundyourpal.com and all related pages, tools, and services (collectively, the "Platform").

By creating an account, creating or managing a fundraising page, making a donation, or otherwise using the Platform, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Platform.

1. Who We Are and What We Do

1.1 Technology platform only. FundYourPal provides software that allows youth sports teams, leagues, and booster organizations ("Teams") to create fundraising pages, manage player and sponsor information, and accept donations from supporters ("Donors"). FundYourPal is a technology provider. It is not a charity, a fundraiser, a professional solicitor, a payment processor, a bank, an escrow agent, a money transmitter, or a party to any donation.

1.2 Funds flow directly to the Team. All payments are processed by Stripe, Inc. and its affiliates ("Stripe"). Each Team maintains its own Stripe connected account. Donations are charged by Stripe and settled directly to the Team's connected account. FundYourPal never takes possession, custody, or control of donated funds. Our platform fee (Section 6) is separated automatically by Stripe at the time of the transaction.

1.3 No endorsement. FundYourPal does not vet, endorse, or guarantee any Team, campaign, or use of funds. Any statements on a fundraising page are made solely by the Team.

2. Eligibility and Accounts

2.1 Age. You must be at least 18 years old to create an account or make a donation. The Platform is not directed to children, and we do not knowingly collect personal information directly from anyone under 13.

2.2 Team accounts. Only an adult who is an authorized representative of a legitimate Team (for example, a coach, league officer, or booster club treasurer) may create a Team account. By doing so, you represent and warrant that you have authority to bind the Team to these Terms and to open and operate a Stripe connected account on its behalf.

2.3 Stripe onboarding. To receive donations, a Team must complete Stripe's onboarding and identity verification and accept the Stripe Connected Account Agreement (including the Stripe Services Agreement). Stripe may request additional documentation at any time. FundYourPal has no control over Stripe's verification decisions, payout timing, holds, or reserves.

2.4 Account security. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at hello@fromideatoreal.com of any unauthorized use.

2.5 Verification and refusal. We may verify a Team's status, request documentation (such as an EIN, league affiliation, or bank verification), and refuse or remove any Team at our discretion.

3. Team Obligations

Each Team, and each individual acting on its behalf, agrees to:

(a) Content accuracy. Ensure that all campaign content, goals, player information, and statements about the use of funds are truthful, current, and not misleading.

(b) Use of funds. Use donated funds solely for the purposes described on the fundraising page, or for the general benefit of the Team where so stated.

(c) Minors' information. Obtain and retain written consent from a parent or legal guardian before publishing any minor's name, image, likeness, story, statistics, or other personal information, and remove such information promptly upon a parent's or guardian's request.

(d) Legal compliance. Comply with all applicable federal, state, and local laws, including the Florida Solicitation of Contributions Act (Chapter 496, Florida Statutes) and any registration or exemption requirements that apply to the Team, applicable tax laws, raffle and gaming laws, and the rules of any league or governing body.

(e) Tax status. Accurately represent the Team's tax status. A Team may state that donations are tax-deductible only if the Team (or its parent organization) is recognized as tax-exempt under Section 501(c)(3) of the Internal Revenue Code and the donation qualifies under applicable law. The Team, not FundYourPal, is responsible for issuing any donor acknowledgments or receipts required by law.

(f) Donor data. Use Donor information only to acknowledge donations, communicate about the campaign, and comply with law. Teams may not sell Donor information or use it for unrelated marketing without the Donor's consent.

(g) Refunds and disputes. Handle Donor refund requests in good faith, respond to Stripe disputes and chargebacks promptly, and maintain sufficient funds in the Team's Stripe account to cover refunds, disputes, and associated fees.

4. Donor Acknowledgments

By making a donation, you acknowledge and agree that:

(a) Your donation is made to the Team, not to FundYourPal, and is settled directly to the Team's Stripe connected account.

(b) FundYourPal does not control, and does not guarantee, how a Team uses funds, whether a campaign reaches its goal, or whether a Team continues to operate.

(c) Donations are not tax-deductible unless the Team is a qualified 501(c)(3) organization and states so on its page. FundYourPal does not issue tax receipts and makes no representation regarding deductibility.

(d) Your name, email address, donation amount, and any message you submit will be shared with the Team, and your name and message may be displayed publicly on the fundraising page unless you choose to donate anonymously where that option is offered.

(e) Any dispute regarding the use of funds is between you and the Team. FundYourPal will, on request, provide reasonable assistance in contacting the Team.

(f) You are authorized to use the payment method provided and will not initiate a chargeback in bad faith.

5. Refunds and Chargebacks

5.1 Refunds come from the Team. Because FundYourPal never holds donated funds, all refunds are issued by the Team from its Stripe account. Refund requests should be directed to the Team. FundYourPal may facilitate communication but has no obligation or ability to refund a donation.

5.2 Platform fee. The FundYourPal platform fee is earned when the transaction is completed and is non-refundable, except where required by law or where FundYourPal, in its sole discretion, elects to refund it.

5.3 Chargebacks. Chargebacks, disputes, and any resulting fees imposed by Stripe or the card networks are the responsibility of the Team and are debited from the Team's Stripe account. FundYourPal is not liable for any chargeback or dispute.

6. Platform Fee

6.1 FundYourPal charges a platform fee on each donation. The current fee (expressed as a percentage, a fixed amount, or both) is disclosed on the Platform at the time of donation and may be updated prospectively with notice.

6.2 Donors may be given the option to cover the platform fee and/or leave a voluntary tip to FundYourPal so that the full intended amount reaches the Team. Tips are payments to FundYourPal for use of the Platform, are not donations to the Team, and are not tax-deductible.

6.3 In addition to the platform fee, Stripe charges the Team standard card-processing fees under the Team's agreement with Stripe. FundYourPal does not control or receive Stripe's processing fees.

7. Acceptable Use

You may not:

(a) provide false or misleading information, impersonate any person or Team, or operate a campaign for a Team you are not authorized to represent;
(b) post content that is unlawful, defamatory, harassing, obscene, or that infringes any third party's rights;
(c) publish personal information about a minor without the consent described in Section 3(c);
(d) use the Platform to conduct raffles, lotteries, sweepstakes, or games of chance unless expressly permitted by applicable law and by FundYourPal in writing;
(e) misuse Donor or player data, including scraping, harvesting, or unsolicited marketing;
(f) make fraudulent donations, launder funds, or initiate chargebacks in bad faith;
(g) interfere with, probe, or circumvent the security or integrity of the Platform, Stripe, or any integration; or
(h) use the Platform in violation of Stripe's Restricted Businesses list or any applicable law.

8. User Content and License

8.1 You retain ownership of the text, photos, videos, logos, and other materials you upload ("User Content"). You grant FundYourPal a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute User Content for the purpose of operating, promoting, and improving the Platform.

8.2 You represent and warrant that you own or have all necessary rights and consents to your User Content, and that it does not violate these Terms or any law.

8.3 We may remove any User Content at our discretion, including in response to a takedown request or a parent's or guardian's request concerning a minor.

8.4 The Platform, including its software, design, trademarks, and content other than User Content, is owned by FundYourPal or its licensors and is protected by intellectual property laws. No rights are granted except as expressly stated in these Terms.

9. Privacy

Our collection and use of personal information is described in our Privacy Policy at fundyourpal.com/privacy. Teams that receive Donor or player information through the Platform are independently responsible for their handling of that information in compliance with applicable law.

10. Suspension and Termination

10.1 FundYourPal may suspend, restrict, or terminate any account or campaign at any time, with or without notice, if we reasonably believe there is a violation of these Terms, fraud, a legal or regulatory risk, a request from Stripe or law enforcement, or a risk to Donors, minors, the Platform, or third parties.

10.2 Stripe may independently hold, reserve, or delay payouts to a Team under its own agreements. FundYourPal has no control over such actions and is not responsible for any resulting delay or loss.

10.3 Upon termination, funds already settled to a Team's Stripe account remain subject solely to the Team's agreement with Stripe. FundYourPal has no obligation to assist in the recovery or transfer of funds.

10.4 You may close your account at any time by contacting us. Sections 4, 5, 6, 8, 11, 12, 13, 14, and 15 survive termination.

11. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, FUNDYOURPAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. FUNDYOURPAL DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT ANY CAMPAIGN WILL SUCCEED, OR THAT ANY TEAM WILL USE FUNDS AS DESCRIBED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUNDYOURPAL AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF FUNDS, PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE PLATFORM, ANY TEAM'S CONDUCT, ANY DONATION, OR STRIPE'S SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL FUNDYOURPAL'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE PLATFORM FEES ACTUALLY PAID TO FUNDYOURPAL IN CONNECTION WITH THE TRANSACTION(S) GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations; in those jurisdictions our liability is limited to the fullest extent permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless FundYourPal and its members, managers, officers, employees, and agents from and against any claims, losses, liabilities, damages, fines, penalties, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your use of the Platform; (c) your breach of these Terms; (d) a Team's fundraising conduct, use of funds, tax representations, or regulatory compliance; (e) the publication of any minor's information without proper consent; or (f) your violation of any law or the rights of any third party. We may assume the exclusive defense of any matter subject to indemnification, and you agree to cooperate.

14. Governing Law; Dispute Resolution

14.1 Governing law. These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles.

14.2 Informal resolution. Before filing any claim, you agree to contact us at hello@fromideatoreal.com and attempt in good faith to resolve the dispute for at least thirty (30) days.

14.3 Binding arbitration. Any dispute that is not resolved informally shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, conducted in St. Johns County, Florida, or by video conference. The arbitrator's award may be entered in any court of competent jurisdiction. Either party may instead bring an individual claim in small claims court.

14.4 Class action waiver. YOU AND FUNDYOURPAL AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

14.5 Venue for non-arbitrable matters. To the extent any matter is not subject to arbitration, the state and federal courts located in St. Johns County, Florida shall have exclusive jurisdiction, and you consent to personal jurisdiction there.

14.6 Opt-out. You may opt out of Sections 14.3 and 14.4 by emailing hello@fromideatoreal.com within thirty (30) days of first accepting these Terms, stating your name and that you opt out of arbitration.

15. General Provisions

15.1 Changes to these Terms. We may modify these Terms at any time. Material changes will be posted on the Platform with an updated effective date and, for account holders, notice by email or in-product message. Continued use after the effective date constitutes acceptance. Changes do not apply retroactively to disputes that arose before the effective date.

15.2 Third-party services. The Platform relies on Stripe and other third-party services governed by their own terms. FundYourPal is not responsible for the acts or omissions of any third party.

15.3 Electronic communications. You consent to receive notices and communications from us electronically.

15.4 Entire agreement; severability; waiver. These Terms, together with the Privacy Policy, constitute the entire agreement between you and FundYourPal regarding the Platform. If any provision is held unenforceable, the remainder remains in effect. Our failure to enforce any provision is not a waiver.

15.5 Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.

15.6 No agency. Nothing in these Terms creates a partnership, joint venture, agency, or fiduciary relationship between FundYourPal and any Team or Donor.
